Terms of Service

These Terms of Service govern the use of the applications, dashboards, and automation services operated by DS2 Agency (Davide Senigalliesi) on davideai.com, including the Gioel Leads sales app and its optional Google Calendar connection. By using any of these applications you agree to these terms. If you do not agree, do not use the applications.

1. Who we are

DS2 Agency builds and operates automation and sales-support software for small and medium-sized businesses. In these terms, "we" and "us" mean DS2 Agency; "you" means the person using one of our applications; "client" means the business that engaged us to operate the application your account belongs to.

2. What these terms cover

  • The Gioel Leads sales app at davideai.com/gioel/leads, described at ds2.studio/gioel-leads-app
  • The administrative dashboards hosted on davideai.com
  • The client onboarding pages and the WhatsApp automation services operated on our clients' behalf
  • The Gesigroup claims portal at ds2.studio/gesigroup, operated on behalf of our client Gesigroup — see Section 6a for how it differs from the rest of this section
  • Any optional integration you choose to enable inside those applications, including the Google Calendar connection covered in Section 5

Our Privacy Policy forms part of these terms and explains how we handle personal data. Where a signed service agreement exists between DS2 Agency and a client, that agreement prevails over these terms for that client.

3. Accounts and access

  • Accounts are created by DS2 Agency or by the client's administrator. There is no public sign-up: our applications are private business tools, not consumer services.
  • You must be at least 16 years old to hold an account.
  • Your credentials are personal. Do not share them, and do not let anyone else use your account.
  • You are responsible for what happens under your account. If you think it has been accessed by someone else, tell us straight away at seniga.trento@gmail.com.
  • Access ends when your relationship with the client ends, or when the client's engagement with DS2 Agency ends.

4. Acceptable use

Use the applications for the business purpose they were built for, and nothing else. In particular, do not:

  • upload or enter personal data you have no lawful basis to process;
  • use the applications to send unsolicited commercial messages in breach of applicable law;
  • attempt to access data belonging to another user, another client, or another account;
  • probe, scan, overload, or attempt to bypass the security of the applications or their infrastructure;
  • copy, decompile, reverse engineer, or resell any part of the software;
  • use automated tooling to extract data in bulk from the applications, other than the export features we provide.

We may suspend access immediately if we find any of the above, or if we are required to do so by law.

5. Google Calendar connection

The Gioel Leads app can connect to your own Google Account so you can see your availability and save appointments while you work. This connection is optional and the rest of the app works without it.

  • The app requests one Google Calendar permission, https://www.googleapis.com/auth/calendar.events, plus your name and email address for sign-in.
  • It reads events from your primary calendar for the next 7 to 14 days, to show the days and time slots you already have taken. Event details are shown to you only and are never stored in our database.
  • It creates a calendar event when you confirm an appointment in the app. It never deletes or edits events it did not create.
  • You can disconnect at any time from the profile screen in the app, or from myaccount.google.com/permissions. Events already saved to your calendar stay there.

Your use of Google Calendar itself remains governed by Google's own terms. Section 4 of our Privacy Policy describes in full what we access, what we store, and our Limited Use commitment under the Google API Services User Data Policy.

6. Contact data you enter

Our sales applications hold contact data — names, phone numbers, addresses, notes about calls and appointments. That data belongs to the client whose team you work in. The client decides why it is processed and is the data controller; DS2 Agency processes it on the client's instructions, as described in the Privacy Policy.

If you upload a contact list, an address book, or a customer file, you confirm that you and the client have the right to process that data and to have us process it on their behalf. Do not upload special categories of personal data (health, political opinions, and the other categories listed in GDPR Art. 9) into our applications — except through the Gesigroup claims portal, covered separately in 6a below.

6a. The Gesigroup claims portal

The Gesigroup claims portal at ds2.studio/gesigroup is the one exception to the rule above: uploading identity documents and health/medical records is the specific, intended purpose of that portal, not something to avoid. Gesigroup is the data controller for everything you enter or upload there; DS2 Agency processes it on Gesigroup's instructions, operating the portal on Gesigroup's behalf. If you are a Gesigroup client, only upload documents that relate to your own claim and that you have the right to share. Section 5d of our Privacy Policy describes in full what is collected, why, and the legal basis for processing it.

7. Availability and changes

We aim to keep the applications available and working, but we do not promise uninterrupted service unless a separate agreement with the client says otherwise. The applications depend on third-party platforms — Supabase, Netlify, n8n, Google, Meta — and an outage at any of them can interrupt features that rely on it.

We add, change, and remove features as the products evolve. Where a change removes something you rely on, we will tell the client in advance whenever it is reasonable to do so. Maintenance may cause short interruptions.

8. Intellectual property

The applications, their source code, design, and documentation belong to DS2 Agency. Nothing in these terms transfers ownership of the software to you or to the client; you receive a limited, non-exclusive, non-transferable right to use the applications for the duration of the engagement.

The data entered into the applications belongs to the client. On request we provide an export of it, and we delete it in line with the retention rules in the Privacy Policy.

9. Disclaimer of warranties

The applications are provided "as is". To the extent permitted by law, we make no warranty that they will be error-free, that any particular result will be achieved, or that they are fit for a purpose we have not agreed in writing. The features that display calendar availability, suggest contacts, or compute statistics are decision aids, not guarantees — check anything that matters before acting on it.

10. Limitation of liability

To the extent permitted by applicable law:

  • we are not liable for indirect or consequential loss, lost profit, lost business opportunity, or loss of data caused by a third-party platform outage;
  • our total liability arising from the use of the applications is limited to the fees the client paid DS2 Agency for the twelve months preceding the event giving rise to the claim;
  • nothing in these terms excludes liability for intent, gross negligence, injury to life or health, or any other liability that cannot lawfully be excluded under German law.

11. Suspension and termination

We may suspend or close an account that breaches these terms, that poses a security risk, or where the client's engagement has ended. You can stop using the applications at any time; the client can ask us to close their accounts and delete their data, and we will do so in line with the Privacy Policy.

Disconnecting the Google Calendar connection does not close your account, and closing your account deletes the Google tokens we hold for you.

12. Changes to these terms

We may update these terms when the products or the legal requirements change. The "Last updated" date at the top of this page always reflects the current version, and material changes are communicated to the client. Continuing to use the applications after a change takes effect means you accept the updated terms.

13. Governing law

These terms are governed by the law of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Where the client is a business, the courts competent for the seat of DS2 Agency have jurisdiction. Mandatory consumer protection rules of your country of residence remain unaffected.
